I have little insight into the corporate world (beyond the glimpses I get of hospital administrators trying to emulate the big kids) but what I have seen in the 'agency' world is that the folks chosen for the boards are typically spread very thin and mostly wondering how to get off of a board or two, and barely have time to arrive at any meetings prepared enough to do anything but just go along with what's asked of them. How did I do? Add the "you scratch my back, I'll scratch yours" incentive, and CEO and top management salaries have exploded over the last decade or two in the US, especially compared to other pay rates.
