There is a copy for sale locally for $50 ... original owner but it needs new activation. Two questions: is getting it reactivated difficult and will this allow me to upgrade to CS3, which I already own (bought the upgrade but realized I have no upgrade path)?

If he failed to properly deactivate it on his machines, that's probably something he should sort out before selling it.
But, if all you want to do is install CS3, all you need is a valid serial # (no need to mess around with installing or activating CS).
