I was given two copies of the OSes by a former business owner of a computer shop ... he has closed up his shop. Is it illegal for me to sell them? Both S/W come with paperwork.

Not in my experience. I recently bought a copy from a friend who had it installed but uninstalled it later. I called MS first and told the very nice phone person the true story and after giving her the serial number, she said no problem. I did install it and it registered without issues. I would call them to be sure, of course.
Hope this helps.

If they're in the original sealed boxes, of course it's legal. If not, it's legal so long as those serial numbers aren't currently installed on a computer.

I think it should be illegal for anyone to sell MS products. Including MS.

They are not in boxes; they are in packages with a booklet, a CD and an installation code. Not sure if they have been used on any computer. I want to sell them because I already have a legal copy of our own.

Sounds like the OEM packages that came in with a PC when purchased. May never have been opened if one disk of a bunch was used as installer and they just read the code through the plastic. Or might not have been used at all, no way of telling short of checking with MS.

Call Microsoft and ask if the serial numbers are good. I wouldn't mention that you plan to resell them, though.
