The new iPhoto imported my old photos just fine. It gave a warning that old versions of iPhoto would not be able to open the photos once converted.

The alert to the new iPhoto did not come from Software Update but instead came from iPhoto. After installing Yosemite the iPhoto icon in the dock had a bar across it; clicking on that told me to I had to upgrade iPhoto and it took me to the app store to do that.
